1. Acceptance of Terms

By accessing and using ElanOneStop ("the App"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the App.

2. Description of Service

ElanOneStop is a personal productivity and life management application that provides the following features:

• Reminder and notification management
• Task and to-do list organization
• Financial tracking and budgeting
• Secure credential storage
• Document management
• Note-taking and organization
• Calendar integration
• Family sharing capabilities

3. User Accounts

3.1 Account Creation

To use the App, you must create an account by providing accurate and complete information including:

• Full name
• Valid email address
• Phone number
• Secure password

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling available security features (biometric authentication, two-factor authentication)

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• Your account is inactive for an extended period
• We detect fraudulent or suspicious activity
• Required by law or legal process

4. User Conduct

You agree NOT to:

• Use the App for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to the App or related systems
• Interfere with or disrupt the App's functionality
• Collect or harvest information about other users
• Impersonate any person or entity
• Use the App to spam or send unsolicited messages

5. SMS Notifications

By enabling SMS notifications, you agree to receive text messages from ElanOneStop for:

• Reminder alerts
• Task notifications
• Account security alerts
• Two-factor authentication codes

Standard message and data rates may apply. You can opt-out at any time by texting STOP to our service number or disabling SMS notifications in the app settings.

6. User Content

6.1 Your Content

You retain all rights to the content you create, upload, or store in the App, including:

• Reminders and tasks
• Financial records
• Documents and files
• Notes and text entries
• Credentials (encrypted)

6.2 License to Us

By uploading content to the App, you grant us a limited license to:

• Store and display your content
• Process your content to provide App functionality
• Back up your content for disaster recovery

We will NOT:

• Share your content with third parties without your consent
• Use your content for advertising purposes
• Sell or monetize your personal data

6.3 Content Responsibility

You are solely responsible for the content you store in the App. We do not monitor, review, or endorse user content.

7. Data Privacy and Security

7.1 Data Collection

We collect and process your data as described in our Privacy Policy.

7.2 Data Security

We implement industry-standard security measures including:

• End-to-end encryption for sensitive data (credentials)

While we maintain regular backups, you are responsible for maintaining your own copies of important data. We are not liable for data loss.

8. Family Sharing

The App includes family sharing features that allow you to:

• View family-shared content
• Manage family groups

When using family sharing:

• You must have permission from family members to share their information
• Shared content is visible to all family group members
• Family administrators can manage group membership
• You can remove yourself from a family group at any time

9. Intellectual Property

9.1 Our Rights

The App, including its design, functionality, source code, logos, and trademarks, is owned by ElanOneStop and protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

9.3 Restrictions

You may NOT:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, or sublicense the App
• Remove or alter any copyright or proprietary notices

10. Third-Party Services

The App may integrate with third-party services (e.g., SMS providers, cloud storage). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

11. Disclaimers and Limitations of Liability

11.1 "AS IS" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free service

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (IF ANY).

11.3 Critical Applications

THE APP IS NOT DESIGNED FOR USE IN CRITICAL APPLICATIONS WHERE FAILURE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE. You use the App at your own risk for critical reminders.

12. Indemnification

You agree to indemnify and hold harmless ElanOneStop, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your content uploaded to the App

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by:

• Email notification
• In-app notification
• Posting on our website

Continued use of the App after changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the App.

14. Service Availability

We strive to provide continuous service, but we do not guarantee:

• Uninterrupted access to the App
• Error-free operation
• Defect-free software
• Availability in all geographic regions

We reserve the right to:

• Modify or discontinue features
• Perform maintenance and updates
• Suspend service temporarily

15. Export Compliance

The App may be subject to export control laws. You agree to comply with all applicable laws and regulations regarding the export and use of the App.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Good faith negotiation between the parties
2. Binding arbitration in Michigan if negotiation fails
3. Litigation in the courts of Michigan only if arbitration is not applicable

16.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive the right to participate in class actions or class arbitrations.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and SMS Consent, constitute the entire agreement between you and ElanOneStop regarding the use of the App.
